1. This Agreement (the “Agreement”) is between Platinum Peek Productions (Service Provider) and purchaser (Client) and this Agreement sets forth the terms and conditions applicable to the purchase and the use of social media videos services provided by Platinum Peek Productions.

2. The MLS Media Video Services are provided either as “Tier 1” or “Tier 2” listed below.

A. Tier 1: $500 per month

We take your property listings and all specific details regarding those listings. Then, convert them to video reels with the script and direction provided by our team. (You may book a meeting to let us know your personal branding)

In line with this, we need you to record specific lines to clone your voice with our advance Ai technology. Apart from the recording session, all of the leg work will come from us such as script writing, creative directing, video editing, and QA. You just need to sit relax while we deliver your reels.

Deliverables: 3 captivating reels to showcase your properties per month

Highlight key features and unique selling points of each property

Engage potential buyers with visually stunning and informative videos

Enhance your property listings and attract more potential buyers

Client must agree to which selection they choose during the onboarding process with Platinum Peek following payment.

B. Tier 2: Custom Offer

Same as Tier one regarding the initial process. However, you'll have a dedicated success manager to keep tabs on the progress of your account. We will also provide more detailed creative directing on your project to help you close those deals.

Deliverables: Everything from Basic Plan and Complex Video Animations. 10 and Above Videos edited per month depending on the agreement.

3. Any additional services that are added to these MLS Media Services are binding to these terms and conditions. Some services provided by Platinum Peek Productions will require a master service agreement and work order agreements.

4. Client agrees that once the videos are delivered each month, they’re are only allowed one set of revisions. Any additional edits will be invoiced to the client at $30/hr. Client agrees to sign off on each set of video deliverables that Platinum Peek delivers.

5. Client agrees that Platinum Peek Productions and associated companies are not liable for any negative outcome that these videos produce for the client.

6. All payments for Services and Products must be made in full prior to delivery of the Services or Products

7. This Agreement and all disputes and other matters arising under or in connection with this Agreement shall be governed by and construed in accordance with the laws of California and venue in San Luis Obispo County, California.

8. Client acknowledges that Platinum Peek Productions may use Client's name and logo on its website, marketing materials, and social media channels for the purpose of promoting Platinum Peek Productions' services, unless Client notifies Platinum Peek Productions in writing that it does not wish to be included in such promotion.

9. Client agrees to provide Platinum Peek Productions with all necessary information and materials in a timely manner in order to facilitate the creation of the social media videos, including but not limited to access to any relevant recordings or events. 

10. Platinum Peek Productions warrants that the social media videos will be created in a professional and workmanlike manner, and will be free from any material defects. If Client is not satisfied with the quality of the social media videos, Client may request a refund within 14 days of receipt of the videos. 

11. Platinum Peek Productions retains all intellectual property rights in the social media videos, except for any pre-existing intellectual property provided by Client. Client may use the social media videos for its own business purposes, but may not sell or transfer the videos to any third party without the prior written consent of Platinum Peek Productions.

12. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether oral or written. No modification of this Agreement shall be binding unless in writing and signed by both parties. 

13. Platinum Peek Productions reserves the right to terminate this Agreement or any Work Order immediately if Client breaches any of its obligations under this Agreement, including but not limited to failure to make payment when due or failure to provide necessary information and materials in a timely manner. In the event of such termination, Client shall remain liable for payment of any fees or expenses incurred by Platinum Peek Productions prior to the date of termination. 

14. Client acknowledges that Platinum Peek Productions may use third-party contractors to assist in the creation of the social media videos, and Platinum Peek Productions shall not be liable for any acts or omissions of such contractors. 

15. Client shall indemnify and hold harmless Platinum Peek Productions and its officers, directors, employees, and contractors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Client's use of the social media videos or any breach of this Agreement by Client.

16. Platinum Peek Productions shall not be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, fire, flood, or other natural disasters. 

17. Client agrees to cooperate with Platinum Peek Productions in the defense of any claim or action brought against Platinum Peek Productions arising out of or in connection with Client's use of the social media videos, including but not limited to providing information and materials and participating in any legal proceedings.

18. Platinum Peek Productions reserves the right to modify the terms of this Agreement at any time, with notice to Client. Client's continued use of the social media videos after such modification shall constitute Client's acceptance of the modified terms. 

19. Client acknowledges and agrees that they are solely responsible for the content of the social media videos created by Platinum Peek Productions, including but not limited to the accuracy, legality, and appropriateness of such content. 

20. Client agrees to comply with all applicable laws and regulations in connection with their use of the social media videos, including but not limited to laws governing intellectual property, privacy, and advertising. 

21. Client agrees to indemnify and hold harmless Platinum Peek Productions and its officers, directors, employees, and contractors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any claim, suit, or proceeding brought against Platinum Peek Productions based on the content of the social media videos created for Client.

22. In the event that any claim, suit, or proceeding is brought against Platinum Peek Productions based on the content of the social media videos created for Client, Platinum Peek Productions reserves the right to terminate this Agreement immediately and without notice to Client. Client shall remain liable for payment of any fees or expenses incurred by Platinum Peek Productions prior to the date of termination.

NON-SOLICITATION OBLIGATIONS

Neither party shall (without the prior written consent of the other, such consent not be unreasonably withheld) solicit the employment of or make an offer of employment to any person who is a self-employed subcontractor or direct employee of the other during the operation of this Agreement or a Work Order and for a period of six (6) months after its termination or expiry.
